These Terms and Conditions (hereinafter, "T&C") govern the access and use of the digital platform nuvelixqora.com (hereinafter, "the Platform"), operated by Nuvelixqora S.A., Tax ID (CUIT) 30-71856423-9, registered with the General Inspection of Justice (IGJ) under No. 22,847, Book 97, Volume A of Corporations, with registration before the National Securities Commission (CNV) No. 847, and legal address at Av. Leandro N. Alem 1050, Floor 12, C1001AAT, Autonomous City of Buenos Aires, Argentina.
1. Acceptance of terms
By accessing and using the Platform, you accept these T&C in their entirety. If you do not agree with any of these conditions, we ask that you do not use our services. Continued use of the Platform after the publication of modifications constitutes tacit acceptance of the updated T&C.
2. Nature of the service
Nuvelixqora operates as a digital real estate crowdlending platform that connects investors with projects in the real estate sector in Argentina. The Platform facilitates the participation of multiple investors in the financing of developments related to the construction, renovation, and enhancement of properties. Nuvelixqora does not act as a financial entity, bank, insurance company, or brokerage firm. The Platform's activity falls within the regulations of the National Securities Commission (CNV) applicable to investment crowdfunding in the Argentine Republic.
3. Requirements for participation
To use the Platform's investment services, you must meet the following requirements: be over 18 years of age with full legal capacity; reside in the Argentine Republic or prove fiscal residence in the country; complete the registration, identity verification (KYC), and investor profile process; provide truthful, complete, and updated information; expressly accept the risks inherent to investing in real estate projects; not be listed on any national or international sanctions lists.
4. Investment risks
All investments made through the Platform carry significant risks, including but not limited to: the possible partial or total loss of invested capital; substantial delays in the execution or completion of projects; variations from initially estimated returns; risks inherent to the Argentine real estate market, including exchange rate fluctuations, regulatory changes, adverse macroeconomic conditions, and inflation; illiquidity risk, given that investments may not be easily transferable before the project's maturity; risk of default by the real estate developer. Nuvelixqora does not guarantee any return nor assure the recovery of invested capital. The information presented on the Platform is informational in nature and does not constitute financial, legal, or tax advice.
5. User obligations
As a user of the Platform, you commit to: use the Platform in accordance with current legislation and these T&C; maintain the confidentiality of your access credentials; immediately notify any unauthorized use of your account; not use the Platform for illicit activities, including money laundering or terrorism financing; not reproduce, distribute, or modify the Platform's content without authorization.
6. Intellectual property
All content on the Platform (texts, images, logos, graphic design, source code, databases, registered trademarks, and other elements) is the exclusive property of Nuvelixqora S.A. or its licensors and is protected by Law No. 11,723 on Intellectual Property, Law No. 22,362 on Trademarks and Designations, and other applicable regulations, as well as international treaties in force in the Argentine Republic. Its reproduction, distribution, public communication, or transformation without prior written authorization is expressly prohibited.
7. Personal data protection
The processing of personal data is governed by our Privacy Policy, available on the Platform, and by Law No. 25,326 on Personal Data Protection and its complementary regulations. By using the Platform, you give your informed consent for the processing of your data in accordance with said policy.
8. Limitation of liability
To the maximum extent permitted by Argentine law, Nuvelixqora shall not be liable for: indirect, incidental, special, or consequential damages arising from the use of the Platform; technical interruptions, software errors, or delays in site availability; actions or omissions of third parties, including real estate developers, service providers, and other platforms; investment losses arising from the risks inherent to the real estate market as described in section 4 of these T&C; force majeure or acts of God. Our contractual liability is limited to the amount of commissions actually received by Nuvelixqora in connection with the specific operation that gave rise to the claim.
9. Modifications
Nuvelixqora reserves the right to modify these T&C at any time. Substantial changes will be communicated to registered users through the Platform and/or by email with a minimum prior notice of 15 calendar days. During the notice period, users may express their disagreement and request the termination of their relationship with the Platform. Continued use of the Platform after the notice period implies acceptance of the modified T&C.
10. Dispute resolution
The parties commit to attempting to resolve any dispute amicably and in good faith within a period of 30 calendar days from notification of the conflict. In the event that an agreement is not reached, the parties submit to the exclusive jurisdiction of the Commercial Courts of the Autonomous City of Buenos Aires, Argentine Republic, expressly waiving any other jurisdiction or venue that may apply, including federal jurisdiction.
11. General provisions
If any provision of these T&C is declared void or unenforceable by a competent court, the remaining provisions shall continue in full force and effect. Failure by Nuvelixqora to exercise any right provided in these T&C shall not constitute a waiver of such right. These T&C, together with the Privacy Policy and the Cookie Policy, constitute the entire agreement between you and Nuvelixqora regarding the use of the Platform.
